1. Parties and Scope

These General Terms and Conditions (the "Terms") govern the contract between Educ@demy di Ozgen Bagci Cervo, an Italian sole proprietorship (ditta individuale) with registered office at Via Gabriele D'Annunzio 106, 07026 Olbia (SS), Italy, VAT number (Partita IVA) 02864850900 ("Educ@demy," "we," "us"), and the person registering to participate in one of our programs (the "Participant," "you").

These Terms apply to all professional learning programs, courses, workshops, study visits, and similar activities offered by Educ@demy (each, a "Program"), regardless of location, duration, or theme.

The specific details of each Program — including dates, location, fees, what is included, payment deadlines, cancellation deadlines, and any program-specific conditions — are set out in the Program Information published on our website and confirmed in the booking confirmation sent to the Participant. The Program Information and these Terms together form the contract. Where the Program Information sets a specific deadline, fee, or term, that specific value applies; where it is silent, these general Terms apply.

By completing registration and payment for a Program, you confirm that you have read, understood, and accept these Terms together with the relevant Program Information.

2. Registration and Confirmation of Place

Registration is a two-stage process. First, you complete the pre-registration form for the Program, providing the information requested about your context, role, and reasons for joining. Because our groups are small and intentionally curated, we review each pre-registration carefully and reserve the right not to confirm a place where the Program is not a suitable fit, or where places are no longer available.

Once your place is confirmed, we will send a booking confirmation with payment instructions. Your place is reserved only once full payment has been received, save where we have agreed an alternative payment timeline in writing in advance (see Section 4).

Places per Program are limited. The maximum number of participants for each Program is set out in the Program Information. Pre-registration does not in itself guarantee a place.

3. Fees and What is Included

The total fee payable, its components (such as course fee, participant services fee, and any optional add-ons), and what is included in each component are set out in the Program Information and confirmed in the booking confirmation.

No additional enrolment fees, deposits, or hidden costs apply beyond what is shown in the Program Information and booking confirmation.

Unless expressly stated otherwise in the Program Information, fees do not include: travel to and from the Program location, accommodation, meals outside any shared Program meals listed as included, personal expenses, travel and health insurance, or any activities outside the published Program schedule.

All fees are stated in euro (€) and are inclusive of applicable Italian VAT where charged.

4. Payment

Payment is made by bank transfer to the account details provided in the booking confirmation. The Participant must include the payment reference indicated in that confirmation.

Upon completing the transfer, the Participant must email confirmation of payment to info@educademy-eu.com.

Where the Participant is funded through an Erasmus+ grant or similar institutional funding that has not yet been disbursed, an alternative payment timeline may be agreed in writing in advance. Such an arrangement does not alter the Participant's obligation to pay the full fee.

5. Right of Withdrawal (EU Consumers)

Where the Participant qualifies as a consumer under EU and Italian law (Legislative Decree 206/2005, Codice del Consumo), and the contract is concluded at a distance, the Participant has the right to withdraw from the contract within fourteen (14) days of conclusion, without giving any reason.

To exercise this right, the Participant must notify Educ@demy by clear written statement (email to info@educademy-eu.com) within the 14-day period. Where withdrawal is exercised within this period, the full fee paid will be refunded within 14 days of receipt of the withdrawal notice, using the same means of payment.

Where the Program begins within the 14-day withdrawal window, or where the Participant expressly requests that services begin within that window, the provisions of the Codice del Consumo on partial refunds and pro-rated charges apply. The applicable arrangements will be set out in the Program Information or booking confirmation in such cases.

6. Cancellation by the Participant

Cancellations must be notified in writing to info@educademy-eu.com and take effect from the date the email is received by Educ@demy.

Because our groups are small and many costs — such as translation, school and site visits, catering, and venues — are committed in advance, we encourage early notification. Before applying the refund schedule below, we will always seek to offer the following alternatives:

• Transfer of place: You may transfer your place to a colleague at no additional cost at any time before the Program begins, subject to our acceptance of the substitute Participant following the same review process.

• Reschedule: You may reschedule to a future Educ@demy Program at no additional cost, subject to availability and to any difference in fees between the original and replacement Program.

Where neither alternative is suitable, the following general refund schedule applies. Program-specific deadlines may differ where stated in the Program Information; in case of conflict, the Program Information prevails.

• More than 6 weeks before the Program start date: full refund of fees paid, less an administrative fee of €150.

• Between 6 and 4 weeks before the Program start date: refund of the course-fee component, less the administrative fee of €150. The participant services and cultural program component (or equivalent component, where applicable) is non-refundable from this point, as it has been committed to translation, catering, transport, and similar services.

• Less than 4 weeks before the Program start date: no refund. The full fee is retained, as commitments to partners cannot be recovered.

Statutory rights of withdrawal under Section 5 remain unaffected and prevail where applicable.

7. Force Majeure and Circumstances Beyond Our Control

Educ@demy is not liable for costs arising from circumstances beyond our reasonable control, including but not limited to: travel disruption, illness of the Participant, strikes, natural events, or decisions of public authorities.

Where a Program is cancelled or materially altered as a result of a decision or directive of an official authority (EU institutions, national government, regional government, or National Agency), Educ@demy will refund the course-fee component paid, less an administrative cost of €150 per Participant. Travel, accommodation, and other ancillary costs incurred by the Participant cannot be reimbursed in such circumstances.

For this reason, we strongly recommend that Participants book only flexible flights and accommodation, and arrange travel and health insurance, which is the Participant's responsibility and obligation.

8. Cancellation by Educ@demy

Educ@demy reserves the right to cancel a Program if it does not reach the minimum number of confirmed Participants or for other operational reasons. Where Educ@demy cancels a Program:

• Any fees already paid will be refunded in full within 14 days.

• Educ@demy cannot reimburse travel, accommodation, or other ancillary costs incurred by the Participant. We recommend booking only flexible flights and accommodation, and only after written confirmation of the Program.

9. Insurance

It is the Participant's responsibility to obtain appropriate travel and health insurance covering the full duration of the Program, including travel to and from the Program location. Educ@demy does not provide insurance cover for Participants and accepts no liability for losses that would ordinarily be covered by appropriate insurance.

10. Conduct and Participation

Educ@demy Programs are conducted as collaborative co-design labs in which each Participant is an active contributor. Participants agree to engage respectfully with facilitators, fellow Participants, hosts at partner institutions, and the wider community in which the Program is held.

Educ@demy reserves the right to require a Participant to withdraw from a Program in the event of serious or repeated breach of these standards. In such cases, no refund will be due.

11. Intellectual Property of Educ@demy Materials

All materials prepared and provided by Educ@demy in connection with a Program — including but not limited to facilitation guides, presentations, written handouts, digital resources, reading lists, frameworks, methodologies, prompts and protocols, media packages, photographs, films, and any other documentation — are the intellectual property of Educ@demy or of the individual facilitators, contributors, or partner institutions from whom they originate. All rights are reserved.

Educ@demy grants the Participant a limited, non-exclusive, non-transferable licence to use these materials solely for the Participant's own personal study, professional reflection, and internal use within the Participant's school, organisation, or practice. This licence does not include the right to:

• reproduce, copy, scan, or photograph the materials for distribution beyond the Participant's immediate professional context;

• publish, post, or share the materials, in whole or in substantial part, on websites, social media, blogs, professional networks, or in print;

• use the materials, or the methodologies, frameworks, and pedagogical approaches they embody, as the basis for paid courses, workshops, training, consultancy, or other commercial activity;

• translate, adapt, or create derivative works from the materials for distribution or publication;

• remove or alter any attributions, credits, watermarks, or copyright notices on the materials.

Brief quotation of Educ@demy materials for the purposes of review, academic citation, or non-commercial professional discussion is permitted, provided Educ@demy and the relevant contributor are clearly credited and a link to https://www.educademy-eu.com is provided where the medium allows.

Any other use, including any commercial or institutional use beyond the Participant's own organisation, requires prior written consent from Educ@demy. Requests may be sent to info@educademy-eu.com.

12. Partner Institutions, Visits, and Photography Rules

Programs include visits to and engagement with partner institutions, including schools, early childhood centres, ateliers, museums, libraries, public spaces, and the studios and homes of individual practitioners. The intellectual property of these institutions — including their pedagogical documentation, learning environments, displayed work, methodologies, and the work of children and educators — belongs to them and not to Educ@demy or to Participants.

Each partner institution sets its own rules on photography, video and audio recording, sharing of images on social media, and reproduction of materials. These rules vary significantly between institutions and may include, for example:

• complete prohibition on photographing children, educators, or learning environments;

• permission to photograph objects, ateliers, or spaces but not people;

• permission to photograph for personal reference but not for any form of publication or social media sharing;

• requirements to delete or not share specific images on request.

Participants agree to follow the rules communicated by Educ@demy and by each partner institution at the time of the visit, without exception and regardless of their personal practice elsewhere. When in doubt, the Participant must ask before photographing or recording, and must default to not photographing or recording.

Breach of these rules — including but not limited to publishing images of children from partner schools on social media or other platforms — is a serious matter that can damage Educ@demy's relationships with partner institutions and may expose Educ@demy and the Participant to legal consequences under Italian and EU law, including data protection law concerning images of minors. Such a breach constitutes a serious breach of these Terms within the meaning of Section 10.

13. Participant-Created Work and Co-Created Materials

Work produced by a Participant during a Program — including notes, sketches, written reflections, and individual responses to prompts — remains the intellectual property of that Participant.

Where work is co-created collaboratively during a Program — including group documentation, collective ateliers, prototypes, or shared outputs of a workshop — such work is jointly produced by the contributing Participants and Educ@demy. Educ@demy may document, photograph, retain copies of, and share such co-created work for documentary, pedagogical, and promotional purposes, subject to Section 14 below where individual Participants are identifiable in such materials.

Where Educ@demy wishes to publish a Participant's individual work (for example, a written reflection or piece of documentation in a publication, blog post, or future learning resource), Educ@demy will seek the Participant's prior written consent and will credit the Participant unless they request anonymity.

14. Use of Participant Images, Recordings, and Testimonials

During Programs, Educ@demy may take photographs, video, and audio recordings for two distinct purposes: (a) internal documentation of the learning process, and (b) external communications, including the Educ@demy website, social media, newsletters, brochures, and promotional materials.

Use of recognisable images, recordings, or written testimonials of identifiable Participants for external communications is processed on the legal basis of consent under Article 6(1)(a) of the GDPR. Such consent is sought separately from acceptance of these Terms, is freely given, specific, informed, and unambiguous, and may be withdrawn at any time without affecting the Participant's ability to take part in the Program.

At or before the start of each Program, Participants will be invited to complete a separate Image and Testimonial Consent Form, in which they may indicate, for each use, whether they consent:

• to recognisable images and recordings being used in internal documentation only;

• to recognisable images and recordings being used on the Educ@demy website and in printed materials;

• to recognisable images and recordings being used on Educ@demy social media channels;

• to written testimonials being attributed to them by name, role, and institution; or

• to none of the above.

Participants who do not consent will not be included in external communications and will be accommodated in the framing of group photographs and recordings accordingly. Withholding consent has no effect on participation.

Where consent has been given, Participants retain the right at any time to:

• withdraw consent for future use, by emailing info@educademy-eu.com;

• request the removal of specific images, recordings, or testimonials from Educ@demy's website and active social media channels (Educ@demy will act on such requests within a reasonable period, typically within 30 days, and cannot guarantee removal from third-party reproductions outside its control);

• exercise all other rights granted under the GDPR as set out in our Privacy Policy.

Images, recordings, and testimonials are retained for no longer than is necessary for the purpose for which consent was given, and in any case are reviewed periodically as set out in our Privacy Policy.

Nothing in this section authorises Educ@demy or any Participant to photograph, record, or publish images of third parties encountered during a Program — including but not limited to children and staff at partner schools, members of the public, or staff of partner institutions. Such third parties are not Participants and have not consented; the rules set out in Section 12 apply.

15. Certificate of Participation

Participants who attend the full Program receive a Certificate of Participation. The certificate may be applied toward professional development hours where the Participant's employer or relevant authority recognises it. Educ@demy does not guarantee recognition by any specific institution or authority.

16. Data Protection

Personal data provided in connection with registration and participation is processed in accordance with our Privacy Policy and applicable data protection law, including Regulation (EU) 2016/679 (GDPR) and Italian implementing legislation. Our Privacy Policy is available on our website and forms part of these Terms by reference.

17. Limitation of Liability

To the maximum extent permitted by law, Educ@demy's total liability arising in connection with a Program is limited to the total fees paid by the Participant for that Program.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability which cannot be lawfully limited or excluded under Italian law. The mandatory rights of Participants who qualify as consumers under the Codice del Consumo are unaffected by these Terms.

18. Governing Law and Jurisdiction

These Terms are governed by the laws of Italy.

For Participants who qualify as consumers, jurisdiction lies with the courts of the Participant's place of residence or domicile within the EU, in accordance with applicable EU consumer protection rules. For all other disputes, exclusive jurisdiction lies with the courts of Tempio Pausania (the court with territorial jurisdiction over Olbia), Italy.

EU consumers also have access to the European Commission's Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr.

19. Changes to these Terms

Educ@demy may update these Terms from time to time. The version applicable to your booking is the version published on our website at the time you complete registration. Material changes affecting a confirmed booking will only apply with the Participant's agreement.
